Decisions adopted by the Board of the Financial Supervisory Authority

Bucharest, 4 September 2024 – During today’s meeting, the Council of the Financial Supervisory Authority (ASF) adopted measures on the functioning of the supervised non-banking financial markets - insurance, capital market and private pensions, as follows:

A)  Regulation

Draft Regulation amending and supplementing the ASF Regulation no. 4/2021 on the control activity carried out by the Financial Supervisory Authority (the draft will be published on www.asfromania.ro, for public consultation, for 10 days);

Approval of the draft Law amending and supplementing Law no. 24/2017 on issuers of financial instruments and market operations, in the form resulting from the proposals and comments expressed during the public consultation and the inter-ministerial endorsement process;

Draft Regulation amending and supplementing the ASF Regulation no. 5/2018 on issuers of financial instruments and market operations (the draft will be published on www.asfromania.ro, for public consultation, for 20 days);

Draft Regulation amending and supplementing the Regulation of the Financial Supervisory Authority no. 3/2014 on some aspects related to the application of Government Emergency Ordinance no. 99/2006 on credit institutions and capital adequacy and Regulation (EU) no. 575/2013 of the European Parliament and of the Council of 26 June 2013 on prudential requirements for credit institutions and investment firms and amending Regulation (EU) no. 648/2012, as well as amending the Regulation of the Financial Supervisory Authority no. 15/2023 on the authorisation of the entities referred to in Article 163² of Government Emergency Ordinance no. 99/2006 on credit institutions and capital adequacy (the draft will be published on www.asfromania.ro for public consultation for 10 days);

Draft Regulation amending and supplementing the Regulation of the Financial Supervisory Authority no. 5/2019 on the regulation of certain provisions regarding the provision of investment services and activities in accordance with Law no. 126/2018 on markets in financial instruments (the draft will be published on www.asfromania.ro, for public consultation, for 10 days);

Rule amending and supplementing the Regulation of the Financial Supervisory Authority no. 14/2015 on accounting regulations in line with the European Directives applicable to the private pension system (the rule will be submitted for publication to the Official Monitor of Romania);

Draft Regulation amending and supplementing Regulation no. 16/2010 on the prospectus of the optional pension scheme, approved by the Decision of the Supervisory Commission of the Private Pension System no. 27/2010 (the draft will be published on www.asfromania.ro, for public consultation, for 10 days).

B) Authorisation

Approval of Mr. Paul Swoboda for a new mandate as a member of the Supervisory Board of Grawe România Asigurare S.A.;

Approval of Mrs. Mădălina-Otilia Teodorescu as member of the Board of Directors of BRD Asigurări de Viață S.A.;

Approval of Mrs. Alexandra Giuglea for a new mandate as Deputy General Manager of Asito Kapital S.A.;

Approval of the application for the authorisation of Mrs. Anca-Eugenia Crăciun as member of the Board of Directors of BT Pensii - Societate de Administrare a Fondurilor de Pensii Facultative S.A.;

Approval of the application for authorisation of Mr. Aurel Bernát as member of the Board of Directors of BT Pensii - Societate de Administrare a Fondurilor de Pensii Facultative S.A., following the renewal of his mandate;

Approval of the application of the market operator Bursa de Valori București S.A.  to authorise the change in the company’s organisation and functioning as a result of the share capital increase;

Approval of the application for authorisation of European Digital Exchange S.A. as a provider of participative financing services;

Authorisation of the change in the organisation and operation of the financial investment services company Share Invest S.A. as a result of the share capital reduction;

Approval of the application of Smart Equity S.R.L. for registration as Alternative Investment Funds Manager (AIFM) and entry in ASF’s Public Register as a registered AIFM;

Approval of amendments to the Articles of Incorporation of Baldor Insurance Broker S.R.L. (transfer of shares, new significant shareholder, new shareholding, appointment of administrator, introducing term of office for administrators);

Approval of the amendments to the Articles of Incorporation BT Broker de Asigurare S.R.L (appointment of a Board of Directors and amendment of some articles);

Approval of the application to amend the share capital and authorisation to amend the Articles of Incorporation of BT Pensii - Societate de Administrare a Fondurilor de Pensii Facultative S.A.;

Authorisation to amend the Investment Policy Statement of the Privately Managed Pension Fund Metropolitan Life, managed by Metropolitan Life Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Approval of the amendment to the Prospectus of the private pension scheme for the Privately Managed Pension Fund Metropolitan Life, managed by Metropolitan Life Societate de Administrare a unui Fond de Pensii Administrat Privat S.A.;

Approval of the application for final approval of the amendment of the Prospectus of the voluntary pension scheme for the Voluntary Pension Fund Optional, managed by Carpathia Pensii - Societate de Administrare a Fondurilor de Pensii Private S.A.
